Definitions

A registered member is someone who has signed up to the community and agreed to abide by its rules and regulations.

A qualified member is someone who has submitted samples of their work and who has been reviewed by the community to be capable of creating competent content.

Verified content. Content from a qualified member which has been reviewed and rated by the community as conforming to the storyline and the persona construct for Satoshi.

Council of the Wise is the top tier of the community, consisting of a group of experienced contributors and subject material experts, who are in a position to evaluate the readiness of other members to go live with their contributions. Members of the Council also mentor members who have potential but need help to lift their competence level. Membership on the Council is an honorary unpaid position, but is likely to be populated by members otherwise benefiting from their participation in the TOS project, and who therefore are motivated to provide their time and effort. Neither the Council nor community members are paid by the TOS Project. Service is the functionality, community, rules, and underlying hardware and software systems of the Tales of Satoshi website and related media and messaging platforms.

Licence or Storyline Licence provides the terms and conditions from the TOS Project that allow you to base your creations (NFTs, videos, memes, anime, etc.) on our copyrighted Satoshi Nakamoto storyline, characters, persona, and other aspects of our content, and using that licence to distribute or sell (or retain) such creations.

Purpose

The Tales of Satoshi (TOS) project is designed to heighten awareness of Japan and Japanese culture, through the creation of stories about the mythical Bitcoin creator, Satoshi Nakamoto.

Our content and community is divided into two clear and distinct areas:

  • Editorial content which we have developed internally, that belongs to us, and which we take full responsibility for. You can tell if content is editorial because the byline will be “From the Editors” or where the content is a comprehensive part of the website, like FAQs or functionality explanations, there will be no byline at all.
  • Community content is unsolicited content submitted by community members, that is either submitted in its raw/base form or which has been transformed (e.g., translated or animated) in some way. You can tell if content is community generated because the contributions will always be tagged with the contributor’s ID.
  • In the matter of community content, we conscientiously limit our actions to being the host to the community as it collaboratively creates and edits content about the fictional life and times of Satoshi Nakamoto. As the hosting service, our job is to maintain the infrastructure and organization necessary to provide the service and nothing more. Therefore, members need to be aware that: We do not edit or control content generated by the community. All community content on TOS is generated by, edited, and otherwise transformed by the members.
  • We do reserve the right to monitor content for social morals purposes and, where legally obligated, we reserve the right to delete content, but otherwise, all interventions involving community content are by the community itself and are outside our control.
  • We do not endorse any opinions, guarantee truthfulness, accuracy, or reliability of any community content posted.
  • You are legally responsible for your content and any edits on TOS. Therefore, you need to be aware that in some cases in some countries, your content could result in criminal or civil prosecution. The TOS team cannot and will not offer any protection or indemnification from legal action caused by your activities or content, so please practice caution if you are considering potentially risky contributions, especially if in another language besides English. Familiarize yourself with copyright and other laws for not only your own country, but others in which the language you are contributing may be used.
Privacy

Our Privacy Policy describes how we receive and use your information.

User rules

TOS depends on the collaboration and good will of a large community of users who write, edit, transform, and evaluate the content being submitted. Because the project is open to people anywhere, we have rules about your interactions with others. The following activities, whether legal in your jurisdiction or not, violate our rules, and we do not permit repeat offenders to remain in the community.

Activities which:

  • Are offensive, abusive, defamatory, pornographic, threatening, or obscene;
  • Are illegal, or intended to promote or commit an illegal act of any kind, including but not limited to violations of intellectual property rights, privacy rights, or proprietary rights of the TOS Project or a third party;
  • Include your password or purposely includes any other user’s password or purposely includes personal data of third parties or is intended to solicit such personal data;
  • Include malicious content such as malware, Trojan horses, or viruses, or otherwise interferes with any user’s access to the Service;
  • Are intended to or does harass or bully other users;
  • Impersonate or misrepresent your affiliation with another user, person, or entity, or is otherwise fraudulent, false, deceptive, or misleading;
  • Use automated means to artificially promote content;
  • Involve commercial or sales activities, such as advertising, promotions, contests, sweepstakes, or pyramid schemes, that are not expressly authorized by the TOS Project;
  • Links to, references, or otherwise promotes commercial products or services, except as expressly authorized by the TOS Project;
  • Interferes with or in any way disrupts the Service, tampers with, breaches, or attempts to probe, scan, or test for vulnerabilities in the Service or TOS Project’s computer systems, network, usage rules, or any of TOS Project’s security components, authentication measures or any other protection measures applicable to the Service, the Content or any part thereof; or conflicts with other Agreements with the TOS Project.
Personal security

You are responsible for protecting your own password. We suggest that you never disclose it to any third party.

Respecting our copyright and trademarks

The main source of funding for our project comes from our copyrighted base storyline and any trademarks we may use. Please respect this, and consider working with us rather than stealing from us. We will keep licence fees well within established ranges, and make it easy for our members to make money from their creations within the community.

Our licence to you

Members Resale Conditions: We agree to allow registered and qualifying members to use our copyrighted storyline, certifications, trademarks and other applicable intellectual property on the condition that such members agree to:

Provide proper attribution and links in the metadata, labels, or captions of any assets they may post, re-post, or sell online.

Pay a base licence fee of 20% for any commercialization (including but not limited to the resale of NFTs, Memes, video clips, posts and reposts) to the TOS Project. There may be other fees for other services, but these are separate to the base licence fee.

If We Sell Your Stuff: If we help you re-licence your content to sponsoring sites or corporate customers that we know, then we will create a separate agreement and price structure for you, which we will identify and communicate on a case-by-case basis.

Non-commercial Re-use: If you are a journalist or a user simply blogging about us, we of course want PR and permit you to quote portions of our stories not exceeding 150 words, and reproduce 2D screen shot images of our image posts, providing you properly attribute us as the source. However, unlicenced content may not be resold or used for direct commercial activities. Further, in all cases of re-use, you assume full responsibility for any underlying licences that our content may rely on, and it is your responsibility to confirm whether or not an underlying licence exists and how to reproduce the work legally.

Attribution: Fair re-use of content that we host is welcome. Any re-use must include attribution to TOS and the original authors, in the following fashion, as well as any underlying licence attribution requirements:

TOS: through hyperlink (where possible) or URL to the page or pages that you are re-using from our site;

Original Authors: credit to the original author and a hyperlink (where possible) to the author’s profile page on our site; or

Underlying Licences: If re-using content that although posted with us has an underlying licence, such as a CC 2.0 image, then you are responsible for including the hyperlink and original author’s details and any other information that might be required from the CC 2.0 licence.

Rights you grant us

TOS agrees that outside of our storyline, characters, and other TOS-specific material, any original content created by you as a community member will remain the sole and exclusive property of you as a Member, subject to the licence we provide that enables you to build your original content around our’s. Any original content produced by you and posted on our site will typically either link to your profile and/or acknowledge you by name.

If you are a visual or audio creator, creating but not limited to NFTs, videos, images, sound tracks, sound samples, or memes, then by becoming a member and posting your content with us or receiving a Storyline Licence from us, you grant TOS a perpetual, non-cancellable unrestricted license for TOS to post a copy of your content on our site, including but not limited to the gallery, editorial, community, discussion, or PR sections of our site. We also have the right to post to external sites, such as social media and elsewhere, for the purpose of bringing more traffic to the site. We agree that other than usage for PR and on-site content, we will not directly commercialize your content except as allowed for in case-by-case licences between us.

If you are a storyline writer or Council member, you grant TOS a perpetual, non-cancellable, unrestricted licence to TOS to use, copy, translate, modify, display, publish or otherwise exploit your contributions in whole or part in any medium without limitation on a non-exclusive basis. In return, you will receive a percentage of any revenue, or NFTs, or some other pecuniary benefit generated from that content being on our system.

As a member, you agree to not assert any claim against future revenues, business, shares, privileges, or other advantages gained through such reproduction and content re-use.

You warrant that you are the sole and rightful owner, or rightful representative of such owner or owners, of content and have full rights and permissions to execute this Agreement, and will indemnify the TOS Project if an ownership or rights claim is made by a third party.

User responsibilities for content with underlying licences

With the rise of Creative Commons and other image-sharing websites, it is a requirement of membership that any content you post to our site, or submit for approval to receive a Storyline Licence from us, that you only use your own originally created materials, or if reusing or transforming 3rd party content that such 3rd party content is properly licenced, attributed, and linked from sources that allow such re-use and re-distribution rights. This means that with every contribution, you MUST identify the licence type of your 3rd party source and the correct attribution and link information. Any submissions that do not comply with this rule will be removed.

DMCA & GDPR compliance

The TOS project complies with Japanese law, but we also adhere to the basic principles of the Digital Millennium Copyright Act (DMCA) law of the U.S. and the General Data Protection Regulation (GDPR) of Europe, where such rules are legally supportable by the Japanese code. Therefore, we will terminate, in appropriate situations, casual users and members of our system and network who are repeat infringers, and furthermore will ask users for appropriate permissions and to store data in a safe and compliant manner. If you are the owner of content or data that you feel infringes your intellectual property rights, then please contact us at legal@talesofsatoshi.com to make a takedown or other request.

Additionally, in the case of content, since it is moderated by the community it may be easier for you to simply ask the moderators to take action instead.

Third-party websites and resources

You are solely responsible for your use of any third-party websites or resources. Although the TOS Project content may contain links to third-party websites and resources, we do not endorse and are not responsible or liable for their availability, accuracy, or related content, products, or services (including, without limitation, any viruses or other malware), nor do we have any obligation to monitor such third-party content.

Management of website

As our community manages the actual content, our policy is generally “hands off”. However, in some severe cases of abuse or misuse of our Services, particularly cases which imperil the functioning of the site, endanger the community, or where there is legal compulsion, TOS Project staff may intervene. In such cases, we reserve the right, but do not have the obligation to:

Investigate your use of the TOS services and if a violation is found, to comply with applicable laws to resolve the issue;

Detect, prevent, or otherwise deal with fraud, security, or technical issues;

Refuse, restrict access, or prosecute any user or member who violates our Terms of Use;

Perform any actions necessary to allow the TOS Project and its websites and infrastructure to function properly, and protect the rights and safety of ourselves and others.

Policy changes

The TOS Project reserves the right to update or change its policies from time to time. Although we will communicate such changes through our member messaging systems, it is your responsibility to be aware of the policies in place at any given time, and you agree to abide by them.

Service limitations and modifications

The TOS Project will make reasonable efforts to keep the TOS service operational. However, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. To the extent permissible under applicable law, TOS reserves the right, periodically and at any time, to modify or discontinue, temporarily or permanently, functions and features of the TOS service, with or without notice. You understand, agree, and accept that the TOS project has no obligation to maintain, support, upgrade, or update the service, or to provide all or any specific content through the service. Further, The TOS project may, from time to time, remove content without notice to the extent permitted by applicable law.

Terms and termination

You agree that by using the TOS service, either casually or as a member, the terms herein will continue to apply to you until terminated by either you or the TOS Project. If you are a contributor, you acknowledge and agree that the perpetual licence granted by you in relation to content, is irrevocable and will therefore continue after expiry or termination of any of these terms for any reason.

The TOS Project may terminate the service or suspend or block your access to the TOS services at any time, including in the event of your actual or suspected unauthorized use of the content, or non-compliance with our rules. If you or the TOS Project terminate the agreement to the terms herein, or if the TOS Project suspends your access to the service, you agree that the TOS Project and its members shall have no liability or responsibility to you, to the fullest extent permitted under applicable law. Warranty and disclaimer

WE ENDEAVOR TO PROVIDE THE BEST SERVICE WE CAN, BUT YOU UNDERSTAND AND AGREE THAT THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. YOU USE THE TOS PROJECT SERVICE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOS PROJECT AND ALL OWNERS OF THE CONTENT MAKE NO REPRESENTATIONS AND DISCLAIM ANY WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEITHER THE TOS PROJECT NOR ANY OWNER OF CONTENT WARRANTS THAT THE SERVICE IS FREE OF MALWARE OR OTHER HARMFUL COMPONENTS. IN ADDITION, THE TOS PROJECT MAKES NO REPRESENTATION NOR DOES IT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD PARTY APPLICATIONS (OR THE CONTENT THEREOF), USER CONTENT, OR ANY OTHER PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY ON OR THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING. YOU UNDERSTAND AND AGREE THAT THE TOS PROJECT IS NOT RESPONSIBLE OR LIABLE FOR ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF THIRD PARTY APPLICATIONS OR PRODUCTS OR SERVICES ADVERTISED ON OR THROUGH THE SERVICE. AS WITH ANY PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE. NO ADVICE OR INFORMATION WHETHER ORAL OR IN WRITING OBTAINED BY YOU FROM THE TOS PROJECT SHALL CREATE ANY WARRANTY IN THIS REGARD. SOME ASPECTS OF THIS SECTION MAY NOT APPLY IN SOME JURISDICTIONS IF PROHIBITED BY APPLICABLE LAW. THIS DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.

Visitor Acknowledgements

The TOS Project makes no warranty to the accuracy of the content of this site, or the safety of the content. Visitors must take personal responsibility for use of this site.

Limitation

YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE. THE TOS PROJECT ACCEPTS NO RESPONSIBILITY FOR THIRD PARTY APPLICATIONS OR THE CONTENT THEREOF, AND WHILE YOUR RELATIONSHIP WITH SUCH THIRD PARTY APPLICATIONS MAY BE GOVERNED BY SEPARATE AGREEMENTS WITH SUCH THIRD PARTIES, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY, AS WITH RESPECT TO THE TOS PROJECT, FOR ANY PROBLEMS OR DISSATISFACTION WITH THIRD PARTY APPLICATIONS OR THE CONTENT THEREOF, IS TO STOP USING ANY SUCH THIRD PARTY APPLICATIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE TOS PROJECT, ITS OFFICERS, SHAREHOLDERS (IF ANY), EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, PARTNERS, SUCCESSORS, ASSIGNS, SUPPLIERS, OR LICENSORS BE LIABLE FOR (1) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (2) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), IN ALL CASES ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE, THIRD PARTY APPLICATIONS, OR THIRD PARTY APPLICATION CONTENT, REGARDLESS OF LEGAL THEORY, WITHOUT REGARD TO WHETHER THE TOS PROJECT HAS BEEN WARNED OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; OR (3) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, THIRD PARTY APPLICATIONS, OR THIRD PARTY APPLICATION CONTENT MORE THAN THE AMOUNTS PAID BY YOU TO THE TOS PROJECT DURING THE PRIOR TWELVE MONTHS IN QUESTION, TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW.

Non-liability Statement

In no event shall the TOS Project be liable for any of the damages listed below or any other damage that might be caused by the use of this site.

Any damage that might be caused by information contained on the site, as well as any damage caused by the changing or deletion of that information, or any damage caused by the interruption or discontinuation of the operation of the site.

Any damage caused by data, information, views, opinions, and recommendations by our editorial staff, members and contributors or other individuals or companies present on any TOS Project media.

Governing Law

This Agreement, and all transactions contemplated hereby, shall be governed by, construed and enforced in accordance with the laws of Japan, without regard to the principles of conflict of laws.
